Official Rules
NO PURCHASE IS NECESSARY TO ENTER OR WIN. VOID WHERE PROHIBITED. BY ENTERING, ENTRANT AGREES TO BE BOUND BY THESE OFFICIAL RULES AND THE DECISIONS OF SOUNDCLOUD AND THE JUDGES, WHICH SHALL BE FINAL IN ALL RESPECTS.
CONTEST PERIOD: The Tinashe “Match My Freak” Tour DJ Contest (the “Contest”) starts on September 17, 2024 at 12:00 a.m. Eastern Time (“ET”) and ends on November 25, 2024 at 11:59 p.m. ET (the "Entry Period"). All Entries (as defined below) received after the Entry Period are automatically disqualified.
ELIGIBILITY: The Contest is open only to legal residents of the fifty (50) United States and the District of Columbia who are twenty-one (21) years of age or older as of the date of entry, who have a current, valid account on SoundCloud as of the date of entry and throughout the completion of the Contest, who are not members of any music or artist union or guild, and who are not currently party to an exclusive music recording contract or publishing deal which would restrict participation in any of the Local Events (defined below). Employees of SoundCloud Inc. ("SoundCloud") and Tinashe Music Inc. (“Tinashe”) (collectively, the “Contest Parties”) and their respective parents, subsidiaries, affiliates, and advertising and promotion agencies, and members of their immediate family (spouse and parent, children and siblings, and their respective spouses, regardless of where they reside) and persons living in the same household, whether or not related, of such employees, are not eligible to enter or win. Void where prohibited by law. The Contest is subject to all applicable federal, state, and local laws. By participating, each entrant (“Entrant” or “you”) agrees to abide by these Official Rules and the decisions of the Contest Parties and the judges, which shall be final and binding in all respects relating to the Contest. Additionally, all entrants must be the following criteria (“Entry Criteria”), each Entrant must:
- Live within fifty (50) miles of the venue for a relevant Local Event
- Submit their Entry at least two (2) weeks prior to the relevant Local Event
- Have reliable transportation to commute to the venue at the relevant Local Event
- Be present for soundcheck for the appropriate time at the relevant Local Event, to be determined in Tinashe’s sole discretion
- Supply their own back line/DJ set up equipment for the relevant Local Event
- Be available for advance meetings with house and touring crew/staff, to be determined in Tinashe’s sole discretion
- Have a valid form of identification
HOW IT WORKS: In order to participate in the Contest, you must complete and submit the Contest entry form located at https://soundcloud.com/stories/post/tinashe-match-my-freak-tour-dj-contest (the “Contest Website”) which must include a link to an active SoundCloud profile which includes examples of your musical works. For purposes hereof, all materials submitted by an Entrant in connection with the Contest shall be collectively referred to as the “Entry” or “Entries.” Entries must be received at least two (2) weeks prior to the relevant Local Event in order to be considered a valid Entry.
HOW TO ENTER: To submit an Entry, during the Entry Period: complete and submit the online entry form on the Contest Website with all required information, including the link to your SoundCloud profile.
Only one (1) Entry per person. All Entrants must have a SoundCloud account and Entries must be set to public. If Entrant does not have a SoundCloud account, establishing an account at soundcloud.com is free. All applicable SoundCloud terms apply. Uploading an Entry shall constitute Entrant’s agreement to these Official Rules.
The Contest Parties reserve the right to allow for minor deviations from the terms hereof, based on clear intent to comply with these Official Rules, as determined by the Contest Parties in their sole discretion.
By submitting an Entry, Entrant represents and warrants that the Entry conforms to these Official Rules and understands that the Contest parties may disqualify the Entry for any reason, including, without limitation, if it determines that the Entry fails to conform to these Official Rules in any way or otherwise contains unacceptable content.
REPRESENTATIONS AND WARRANTIES: Entrant hereby represents and warrants that: (a) Entrant is not a member of any union or guild having jurisdiction over Entrants participation in a Local Event; (b) Entrant is not currently signed to an exclusive music recording contract or publishing deal restricting their participation in a Local Event; (c) Entrant will meet and comply with all of the Entry Criteria, and (d) Entrant agrees to execute any and all documents necessary to grant the rights granted herein.
WINNER DETERMINATION: All eligible Entries received will be judged by qualified judges selected by Tinashe on the following criteria: Musical skill and talent, originality and creativity, performance ability, and overall appeal (the “Judging Criteria”). One (1) Entrant will be selected as the winner for each relevant Local Event whose Entry is selected by the judges based on the Judging Criteria (the “Winner”). In the event of a tie, an additional “tie-breaking” judge selected by Tinashe will determine the Winner based on the Judging Criteria. All decisions of Tinashe and judges are final and binding. Tinashe will not reveal the judging scores for any Entry.
WINNER NOTIFICATION: Potential Winners will be notified on or about one (1) week prior to the relevant Local Event and will be required to execute an agreement with Tinashe (or third party(ies) designated by Tinashe) to participate in the relevant Local Event. In the event that an agreement for any potential Winner’s participation in a Local Event is not executed, or the potential Winner is disqualified, at the Contest Parties’ sole discretion, a runner-up may be notified.
PRIZE: One (1) Winners shall be selected for each eligible date of the upcoming music tour featuring the artist professionally known as “Tinashe” (the “Tour”), and each Winner shall have the opportunity to perform a DJ set at one (1) show at one of the local venues (as determined in Tinashe’s sole discretion) located within fifty (50) miles of Winner’s primary residence (each a “Local Event”) as an opening act for the Tour. Each Winner will be provided two (2) additional free show tickets and basic green room necessities at the Local Event. Meals will not be provided and there will be no backstage guest list permitted. Exact prize details (i.e. details regarding each Winner’s participation in a specific Local Event) shall be determined by Tinashe. The prize is awarded “as is” with no warranty or guarantee, express or implied. Winner may not substitute, assign, or transfer prize. Tinashe reserves the right, at its sole discretion, to substitute prize (or portion thereof) with one of comparable or greater value. All federal, state, and local taxes, as well as all costs and expenses associated with prize acceptance and use not specified herein as being provided, are the sole responsibility of the Winner. All prize details are at the sole discretion of Tinashe.
RELEASE OF LIABILITY: By participating, each Entrant agrees to release, indemnify, discharge, and hold harmless SoundCloud, Tinashe, and their respective parent, affiliates, subsidiaries, and their respective officers, directors, shareholders, employees, agents, and representatives of the foregoing (collectively, the “Released Parties”), from and against any and all claims, injury, liability, losses, and damages of any kind resulting, in whole or in part, directly or indirectly, from Entrant’s participation in the Contest or any Contest-related activity, the acceptance, use or misuse of the prize, or the exercise of the rights granted herein.
IF ENTRANT IS A CALIFORNIA RESIDENT, ENTRANT WAIVES ANY AND ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF THE STATE OF CALIFORNIA, WHICH PROVIDES AS FOLLOWS: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”
DISPUTES: To the extent permitted by applicable law, by entering the Contest, Entrant agrees that any and all disputes, claims, and causes of action arising out of the Contest or any prize awarded shall be resolve individually, without resort to any form of class action, and exclusively by the appropriate federal or state court located in New York, New York. All issues and questions concerning these Official Rules shall be governed by the laws of the State of New York, without giving any effect to any choice of law or conflict of law rules.
GENERAL CONDITIONS: Released Parties are not responsible for lost, late, incomplete, damaged, inaccurate, stolen, delayed, misdirected, undelivered, or garbled Entries, email, mail, or other communications of any kind. Released Parties are also not responsible for lost, interrupted, or unavailable network, server, Internet Service Provider, website, or other connections, for miscommunications, for failed computer, satellite, telephone, or cable transmissions or lines, for technical failures, for jumbled, scrambled, or delayed, or misdirected transmissions, for computer hardware or software malfunctions, failures or difficulties, or for other errors or difficulties of any kind, whether human, mechanical, electronic, computer, network, typographical, printing, or otherwise, relating to or in connection with the Contest, including, without limitation, errors or difficulties which may occur in connection with the administration of the Contest, the processing or judging of Entries, the announcement of the prize, or in any Contest-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest. Released Parties are also not responsible for injury or damage to any person's computer related to or resulting from participating in this Contest. Persons who tamper with or abuse any aspect of the Contest or any website, who act in an unsportsperson-like or disruptive manner, or who are in violation of these Official Rules, as solely determined by SoundCloud and/or Tinashe, will be disqualified and all associated Entries will be void.
Should any portion of the Contest be, in SoundCloud’s or Tinashe’s respective sole opinion, compromised by virus, worms, bugs, non-authorized human intervention, or other causes, which, in the sole opinion of SoundCloud and/or Tinashe, corrupt or impair the administration, security, fairness, or proper play, or submission of Entries, SoundCloud and Tinashe reserve the right at their sole discretion to suspend, modify, or terminate the Contest, and if terminated, at their discretion, select the potential Winner from all eligible, non-suspect Entries received prior to action taken, using the judging procedure outlined above or as otherwise deemed fair and appropriate by SoundCloud and Tinashe.
CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE CONTEST WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SOUNDCLOUD AND TINASHE RESERVE THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING, WITHOUT LIMITATION, ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING, WITHOUT LIMITATION, CRIMINAL PROSECUTION.

PRIVACY: Submission of any content or information on the Contest Website is subject to SoundCloud’s posted policies, including SoundCloud’s privacy policy. Any personally identifiable information submitted with an Entry will be shared with Tinashe and will be used by SoundCloud in accordance with SoundCloud’s privacy policy posted at https://soundcloud.com/pages/privacy.
