SWEEPSTAKES PERIOD: The Soulection In The Park Sweepstakes (the “Sweepstakes”) starts on July 25, 2025 at 12:00 a.m. Eastern Time (“ET”) and ends on July 26, 2025 at 11:59 a.m. ET (the "Entry Period"). All Entries (as defined below) received after the Entry Period are automatically disqualified.
ELIGIBILITY: The Sweepstakes is open only to legal residents of the fifty (50) United States and the District of Columbia who are eighteen (18) years of age or older as of the date of entry, who have a current, valid account on SoundCloud as of the date of entry and throughout the completion of the Sweepstakes. Employees of SoundCloud Inc. ("SoundCloud") and Soulection Records, LLC (“Soulection”) (collectively, the “Sweepstakes Parties”) and their respective parents, subsidiaries, affiliates, and advertising and promotion agencies, and members of their immediate family (spouse and parent, children and siblings, and their respective spouses, regardless of where they reside) and persons living in the same household, whether or not related, of such employees, are not eligible to enter or win. Void where prohibited by law. The Sweepstakes is subject to all applicable federal, state, and local laws. By participating, each entrant (“Entrant” or “you”) agrees to abide by these Official Rules and the decisions of the Sweepstake Parties, which shall be final and binding in all respects relating to the Sweepstakes.
HOW IT WORKS: In order to participate in the Sweepstakes, you must complete and submit the Sweepstakes entry form located at [https://soundcloud.com/stories/post/soulection-in-the-park-nyc-event] (the “Sweepstakes Website”) which must include a link to an active SoundCloud profile. For purposes hereof, all materials submitted by an Entrant in connection with the Sweepstakes shall be collectively referred to as the “Entry” or “Entries.”
HOW TO ENTER: To submit an Entry, during the Entry Period: complete and submit the online entry form on the Sweepstakes Website with all required information, including the link to your SoundCloud profile.
Only one (1) Entry per person. All applicable SoundCloud terms apply. Uploading an Entry shall constitute Entrant’s agreement to these Official Rules.
The Sweepstake Parties reserve the right to allow for minor deviations from the terms hereof, based on clear intent to comply with these Official Rules, as determined by the Sweepstake Parties in their sole discretion.
By submitting an Entry, Entrant represents and warrants that the Entry conforms to these Official Rules and understands that the Sweepstakes Parties may disqualify the Entry for any reason, including, without limitation, if it determines that the Entry fails to conform to these Official Rules in any way or otherwise contains unacceptable content.
REPRESENTATIONS AND WARRANTIES: Entrant hereby represents and warrants that: (a) Entrant will meet and comply with all of the entry criteria set forth herein, and (b) Entrant agrees to execute any and all documents necessary to grant the rights granted herein.
RIGHTS: Each potential Winner, by acceptance of prize, except where legally prohibited, grants permission for the Sweepstakes Parties and their designees to use his/her name, address (city and state), Entry, photograph, voice and/or other likeness and prize information for advertising, trade and promotional purposes, in any manner, in all media now known or hereafter devised, worldwide in perpetuity, without additional compensation or notification to, or permission from, winner. The Sweepstakes Parties have no obligation to make use of the rights granted to them in these Official Rules.
WINNER DETERMINATION: Potential winner(s) will be selected in a random drawing held on or about one (1) day following the end of the sweepstakes from all eligible entries received. Odds of winning depend on the number of eligible entries received. Five (5) Entrants will be selected as the winners for the Event whose Entry is selected in a random drawing (each a “Winner”, collectively the “Winners”).
WINNER NOTIFICATION: Potential Winners will be notified on or about July 26, 2025. In the event that any potential Winner does not confirm in writing to the Sweepstakes Parties their intention to accept the prize within twenty-four (24) hours being notified by any of the Sweepstakes Parties, or the any potential Winner is disqualified, at the Sweepstakes Parties’ sole discretion, a runner-up for such potential Winner may be notified.
PRIZE: Five potential (5) Winners shall be selected for the Sweepstakes, and each potential Winner shall receive two (2) VIP tickets to the “Soulection in The Park” Concert at Flushing Meadows Corona Park in Queens, NY scheduled for July 27, 2025 (the “Event”). Each prize has an approximate retail value of $250. A potential Winner must be present at the Event to accept their prize and must confirm in writing to the Sweepstakes Parties their intention to accept the prize within twenty-four (24) hours being notified by any of the Sweepstakes Parties they have been selected as a potential Winner. Meals, travel, transportation, and accommodations will not be provided and are the responsibility of each Winner. Each Winner is responsible for all taxes (including income and withholding), fees, and other costs associated with prize receipt and use. The prizes are awarded “as is” with no warranty or guarantee, express or implied. Winners may not substitute, assign, or transfer prize. The Sweepstakes Parties reserve the right, at their sole discretion, to substitute prize (or portion thereof) with one of comparable or greater value. Winners must comply with all Event and venue rules and regulations. Failure to do so may result in forfeiture of the prize. If, for whatever reason, the Event is cancelled or postponed, no substitution or compensation will be provided. All federal, state, and local taxes, as well as all costs and expenses associated with prize acceptance and use not specified herein as being provided, are the sole responsibility of the Winners. All prize details are at the sole discretion of Soulection. No Entrant may be selected as a potential Winner more than once.
RELEASE OF LIABILITY: By participating, each Entrant agrees to release, indemnify, discharge, and hold harmless SoundCloud, Soulection, and their respective parent, affiliates, subsidiaries, and their respective officers, directors, shareholders, employees, agents, and representatives of the foregoing (collectively, the “Released Parties”), from and against any and all claims, injury, liability, losses, and damages of any kind resulting, in whole or in part, directly or indirectly, from Entrant’s participation in the Sweepstakes or any Sweepstakes-related activity, the acceptance, use or misuse of the prize, or the exercise of the rights granted herein.
IF ENTRANT IS A CALIFORNIA RESIDENT, ENTRANT WAIVES ANY AND ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF THE STATE OF CALIFORNIA, WHICH PROVIDES AS FOLLOWS: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”
DISPUTES: To the extent permitted by applicable law, by entering the Sweepstakes, Entrant agrees that any and all disputes, claims, and causes of action arising out of the Sweepstakes or any prize awarded shall be resolve individually, without resort to any form of class action, and exclusively by the appropriate federal or state court located in New York, New York. All issues and questions concerning these Official Rules shall be governed by the laws of the State of New York, without giving any effect to any choice of law or conflict of law rules.
GENERAL CONDITIONS: Released Parties are not responsible for lost, late, incomplete, damaged, inaccurate, stolen, delayed, misdirected, undelivered, or garbled Entries, email, mail, or other communications of any kind. Released Parties are also not responsible for lost, interrupted, or unavailable network, server, Internet Service Provider, website, or other connections, for miscommunications, for failed computer, satellite, telephone, or cable transmissions or lines, for technical failures, for jumbled, scrambled, or delayed, or misdirected transmissions, for computer hardware or software malfunctions, failures or difficulties, or for other errors or difficulties of any kind, whether human, mechanical, electronic, computer, network, typographical, printing, or otherwise, relating to or in connection with the Sweepstakes, including, without limitation, errors or difficulties which may occur in connection with the administration of the Sweepstakes, the processing of Entries, the announcement of the prize, or in any Sweepstakes-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Sweepstakes. Released Parties are also not responsible for injury or damage to any person's computer related to or resulting from participating in this Sweepstakes. Persons who tamper with or abuse any aspect of the Sweepstakes or any website, who act in an unsportsperson-like or disruptive manner, or who are in violation of these Official Rules, as solely determined by SoundCloud and/or Soulection, will be disqualified and all associated Entries will be void.
Should any portion of the Sweepstakes be, in SoundCloud’s or Soulection’s respective sole opinion, compromised by virus, worms, bugs, non-authorized human intervention, or other causes, which, in the sole opinion of SoundCloud and/or Soulection, corrupt or impair the administration, security, fairness, or proper play, or submission of Entries, SoundCloud and Soulection reserve the right at their sole discretion to suspend, modify, or terminate the Sweepstakes, and if terminated, at their discretion, select the potential Winner from all eligible, non-suspect Entries received prior to action taken, using the winner determination procedure outlined above or as otherwise deemed fair and appropriate by SoundCloud and Soulection.
CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE SWEEPSTAKES WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SOUNDCLOUD AND SOULECTION RESERVE THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING, WITHOUT LIMITATION, ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING, WITHOUT LIMITATION, CRIMINAL PROSECUTION.
